INTRODUCTION

1. Welcome to the Global Urbanites Network website, a private social and networking website operated by Global Urbanites, Inc.
   
   
2. This agreement describes the terms and conditions for the use of Global Urbanites’s website.  Membership in Global Urbanites confirms that you have read and accept these terms of use, that you agree to be bound by and conform to them and that you understand the consequences of your non-compliance with these terms of use.
   
   
3. We expressly reserve the right to modify, amend and/or supplement these terms of use from time to time, for any reason, and without prior notice.  Continued use of the website as a member indicates your acceptance of any changes. You are responsible for regularly reviewing these terms of use.
   
   
4. We reserve the right to suspend or terminate, at our sole discretion, a member's account for violations of our rules, guidelines, or terms of use.

I. MEMBERSHIP CONDITIONS

1. Access to the GUN website and membership are not available to the general public and require an invitation by an existing member of Global Urbanites. Members are expected to invite only quality persons who meet our membership criteria.  We reserve the right to reject the membership of individuals who have the potential to harm the reputation of Global Urbanites and our community.
   
   
2. Acceptance of a membership in Global Urbanites, you acknowledge that you meet our membership criteria. A member may not have more than one profile, nor may you create an alternative profile if your membership is suspended or terminated for any reason. You may not sell, trade, or transfer a membership account to another person, nor accept or use an account that was not originally yours. If an account violates these conditions, the account will be terminated immediately.
   
   
3. Your membership and participation in Global Urbanites is based upon the assumption that all information you provide accurate and truthful. Misleading or false information is sufficient reason for us to terminate your account.
   
   
4. Members are prohibited from using a pseudonym or alias.
   
   
5. We reserve the right to change or adjust membership criteria and to make changes in the existing membership at any time and without prior notice.

II. CONDITIONS OF USE AND SERVICE

1. The GUN website provides a medium and environment for socializing, networking and sharing information. If members enter into agreements with other members through Global Urbanites, we are not a contracting party to these agreements and expressly disclaim any liability or accountability for these agreements and/or relationships.
   
   
2. We reserve the right to remove any content posted members at our sole discretion, for reasons including but not limited to that it is unlawful, threatening, libelous, defamatory, fraudulent, obscene or otherwise objectionable, or because it may infringe or violate any party's intellectual property or privacy. We reserve the right to seek legal redress against any member who causes any claims, losses or damages to GUN.
   
   
3. GUN will use reasonable efforts to monitor the content of the website.  You understand and agree that you may encounter content with which you disagree or find inappropriate.  Your use the website with this understanding constitutes your acceptance of this and is an express waiver of liability and/or any claims against Global Urbanites Network.
   
   
4. We do not endorse, support, or ensure the accuracy, truthfulness, or reliability of any content posted in the website’s forum or elsewhere, nor does Global Urbanites endorse opinions and/or information expressed in the forum or elsewhere.
   
   
5. Global Urbanites reserves the right to make changes to the website or our service without prior notice, and to charge for the our services or for certain features, and to modify or create any fees or services without prior notice.
   
   
6. Global Urbanites is granted and retains a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to display any content on our website by posting or submitting any information on the website.

III. YOUR MEMBERSHIP RESPONSIBILITIES

1. Our objective is to create a social, private and secure platform for our members. As such, you acknowledge that this is a private website where members have the expectation of privacy and confidentiality. Our rules have been established to maintain a level of conformity and standards for behavior. Your use of Global Urbanites confirms that you understand and accept these rules, and will follow them.
   
   
2. You are not permitted to use the Global Urbanites name or logo for any purpose, event or promotion without our express consent.  Any use without our consent may result in a claim against and termination of your membership.
   
   
3. Trust and confidence are critical to Global Urbanites. Falsely misrepresenting your identity, including the use of a pseudonym or alias, or your profile information will result in your member account being suspended or terminated.
   
   
4. You may not monitor or copy our web pages or any content within the site, nor collect, archive, trade or sell any personal data, communications or information about other members.
   
   
5. The use of any site search or retrieval application, or any other device to copy, retrieve, archive or index any portion of Global Urbanites, is strictly prohibited.
   
   
6. You are strictly prohibited from distributing, presenting or publishing in any form, electronic or print, any content from the website or the names of any members.  Members are strictly prohibited from sharing, transferring or selling any content on the website with anyone who is not a member of Global Urbanites.
   
   
7. It is imperative that we prevent any intrusions on the privacy of our members. You are strictly prohibited from sending or distributing any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other type of solicitation to other members.
   
   
8. Our members are obligated to maintain the confidentiality and security of their account’s username, password and usage. Members are also accountable for all activities with respect to their account, with or without your knowledge or permission. If you intentionally provide your login information to another person, your membership may be suspended temporarily or terminated. Global Urbanites assumes no liability for activities of your account accessed through your password and username.
   
   
9. Your expressly agree to use the Global Urbanites website in compliance with all applicable laws in any country or jurisdiction.
   
   
10. Members are strictly prohibited from posting any content or initiate any communications that we consider libelous, scandalous, abusive, obscene, discriminatory, unlawful, or otherwise disagreeable.
    
    
11. Members are strictly prohibited from creating or distributing any content or communication that infringes upon the patents, trademarks, trade secrets, copyrights or other proprietary rights of third parties, whether personal, corporate or governmental.

IV. DATA and INFORMATION PROTECTION

1. Global Urbanites will not disclose any personal information to any third party without your permission, unless required by law.
   
   
2. Although we will use reasonable efforts to maintain a secure and private website, Global Urbanites expressly disclaims any liability or accountability for disclosure or distribution of content elsewhere.
   
   
3. Global Urbanites webmasters, site administrators and executives will have access to members’ private account information. No other employees, contractors or third parties will have access to this information without your express permission.
   
   
4. Global Urbanites may access, maintain, and/or disclose the contents of your account and the website if required to do so by law, or if such actions are reasonably necessary to comply with applicable legal requirements or to protect the rights and property of Global Urbanites.

V. TERMINATION OF YOUR ACCOUNT

1. A member may terminate your account and remove your profile at any time without cause, penalty or explanation.  Once an account is terminated, such termination will also result in the removal of all threads created, postings made on threads, and personal messages associated with the terminated account.
   
   
2. Global Urbanites may, at our discretion and with or without cause, immediately terminate your member account and all access to the website without prior notice. Any account termination by us may take into account the business interests of Global Urbanites and the interests of the community as a whole.
   
   
3. Any and all of Global Urbanites Network’s proprietary rights, disclaimer of warranties, indemnities, limitations of liability and other provisions of these terms and conditions continue and remain in effect after termination of your membership. We will not be liable to you or any third-party for the termination of your member account.

VI.   DISCLAIMERS AND LIMITATIONS

Disclaimer of Warranties: Global Urbanites and its affiliates, licensors, partners, suppliers, consultants and agents ("Global Urbanites") expressly disclaim any and all responsibility, accountability or liability for the accuracy, content, completeness, legality, reliability, or availability of information or materials contained on our website. Global Urbanites expressly disclaims any and all responsibility, accountability and liability for the conduct of any member. Global Urbanites website, and all materials, information (including, without limitation, any information or materials obtained or accessed through Global Urbanites website), products and services included therein are provided "as is," with no warranties whatsoever. Global Urbanites expressly disclaims to the fullest extent permitted by applicable law all express, implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights.  Each member agrees that their use of Global Urbanites webiste is entirely at their own risk. You agree to hold harmless and indemnify Global Urbanites from and against any third-party claim, damages or losses arising from or in any way related to your use of our services and website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.

Limitation of Liability: Under no circumstances will Global Urbanites be liable to any member for any indirect, incidental, consequential, special or punitive damages arising out of or in connection with your use of Global Urbanites website, whether or not Global Urbanites Network has been advised of the possibility of such damages. Such limitation of liability shall apply (i) whether the damages arise from use or misuse of and reliance on Global Urbanites’s website, from inability to use Global Urbanites’s website, or from the interruption, suspension, or termination of Global Urbanites’s website (including such damages incurred by third parties), and (ii) notwithstanding any failure of a particular purpose of any limited remedy and to the fullest extent permitted by law.

Miscellaneous Provisions:

Governing Law; Jurisdiction.  These terms and conditions will be governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict of laws provisions or your actual state or country of residence.  The parties agree to submit to the personal and exclusive jurisdiction of the courts located in the United States District Court, Southern District of Florida. If for any reason a court of competent jurisdiction finds any provision or portion of these terms and conditions to be unenforceable, the remainder of the terms and conditions will continue in full force and effect.

Assignment.  A member shall not assign these terms and conditions or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. Any such purported assignment or delegation will be null and void and of no force or effect.

Force Majeure.  Without limiting the foregoing, under no circumstances shall Global Urbanites be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, software failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

Entire Agreement.  These terms of use constitute the entire agreement between you and Global Urbanites with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the terms and conditions by a party will be effective only if in writing and signed by a party.
